Terms of Service

1. Eligibility and Intended Audience

The Services are intended for use by mortgage professionals, real estate investors, and related industry participants. They are not directed to consumers seeking a residential mortgage loan, and the Services do not constitute a loan application, loan offer, or commitment to lend. You must be at least 18 years of age to use the Services.

2. Not a Consumer Credit Application

The Services are educational and informational tools for industry professionals. Nothing on the Services constitutes a consumer credit application, an offer of credit, financial advice, legal advice, or tax advice. Mortgage origination services, when applicable, are conducted separately under appropriate licensing and disclosures and are not the subject of these Terms.

Lending and origination services associated with Luke Roasst (NMLS# 2311093) are provided through Edge Home Finance Corporation (NMLS# 891464), where applicable, under their respective licensing, agreements, and disclosures.

3. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right.
• Reverse engineer, scrape, harvest, or systematically extract data from the Services.
• Interfere with or disrupt the Services, servers, or networks connected to the Services.
• Attempt to gain unauthorized access to any portion of the Services, accounts, or systems.
• Upload or transmit malicious code, viruses, or other harmful material.
• Misrepresent your identity, affiliation, or licensing status.
• Use the Services to harass, threaten, defame, or otherwise harm any person.
• Use automated tools (bots, crawlers) without our prior written permission, except for standard search-engine indexing.

4. Intellectual Property

The Services and all content, features, software, and functionality (including text, graphics, logos, calculators, lender data, and design elements) are owned by KMN LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. No other rights are granted.

5. Lender and Loan Information

Lender directories, loan program information, rate ranges, guideline summaries, and calculator outputs are provided for informational purposes and based on data believed to be accurate at the time of publication. Lender programs, guidelines, pricing, and availability change frequently. WIRMS makes no warranty regarding the accuracy, completeness, or timeliness of any third-party lender information. Always verify current terms directly with the lender.

6. Third-Party Links and Services

The Services may contain links to or integrate with third-party websites, services, or tools. We are not responsible for the content, privacy practices, or terms of any third-party services, and your interactions with them are governed by their own terms.

7. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, KMN LLC disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. Use of the Services is at your sole risk.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall KMN LLC, its members, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or related to your access to or use of the Services, regardless of the legal theory and even if advised of the possibility of such damages. KMN LLC's aggregate liability arising out of or relating to these Terms or the Services shall not exceed one hundred U.S. dollars ($100.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless KMN LLC and its members, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

10. Modifications to the Services and Terms

We may modify, suspend, or discontinue the Services (or any portion of them) at any time, with or without notice. We may also revise these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of the Services after a revision constitutes acceptance of the revised Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Hamilton County, Tennessee, and you consent to the personal jurisdiction of those courts.

13. Miscellaneous

These Terms constitute the entire agreement between you and KMN LLC regarding the Services and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely.
